These terms and conditions (Terms) apply to your use of the Knowledge Hub provided to you by Beef + Lamb New Zealand Limited (B+LNZ).
These Terms form a binding agreement between you and B+LNZ, and are effective from the date that we provide you with access to the Knowledge Hub.
We may change these Terms at any time and the changes will come into effect at least 1 month after the posting of modified Terms on the Knowledge Hub. We will make every effort to communicate these changes to you via email or notification via the Knowledge Hub.
1. Account
1.1 If you wish to access certain features of the Knowledge Hub, you must create an account (Account). Creating an Account is free and access to all features of the Knowledge Hub is free of charge.
1.2 You may only create an Account if you are at least 18 years old and provide a valid email address and password. If you are under 18 years old, then you must get your parent or guardian to read these Terms and agree to them on your behalf before you create an Account.
1.3 It is your responsibility to maintain the confidentiality and security of any information that may be used to access your Account, including your password. Importantly, you agree that you will not share your password, login information or other security related information with any other person that may allow them to access your Account.
2. Access conditions
2.1 By accessing the Knowledge Hub, you agree that you will not:
(a) attempt to undermine the security or integrity of the Knowledge Hub, or attempt to gain unauthorised access to any other user’s Account;
(b) use, or misuse, the Knowledge Hub in any way which may impair the functionality of the Knowledge Hub;
(c) transmit or input into the Knowledge Hub any content or material that may be offensive or inappropriate for the audience of users or in violation of any law; and
(d) directly or indirectly introduce, or permit the introduction of any files, virus, worm, trojan or other malicious code into the Knowledge Hub, or in any other manner whatsoever corrupt, degrade or disrupt the operation of the Knowledge Hub or Website or any other person’s software or computing device; and
2.2 You agree to comply with all laws applicable to your use of the Knowledge Hub and to not use the Knowledge Hub for any unlawful purpose.
3. Privacy Policy
3.1 You agree that we may use the personal information that you provide or that we obtain from third parties about you for the following purposes:
(a) to create, manage and administer your Account in accordance with these Terms;
(b) to comply with our legal obligations, co-operate with the court service, our regulators and law enforcement agencies and to prevent and detect crime;
(c) to provide user support, improve the quality of the Knowledge Hub and train our staff;
(d) to keep you informed (by email or via the Knowledge Hub) of products and services we consider may be of interest to you; or
(e) to aggregate data with other user’s information for analysis, research and to provide information or other services internally and to third parties.
3.2 We may retain your personal information for as long as is reasonably required for the purposes for which it was collected.
4. Data
4.1 We may use Data to support your use of and access to the Knowledge Hub, and to provide any additional support services that may be required to assist that use and access.
4.2 You agree that we may use Data inputted by you for the purposes of providing farm benchmarking and supporting services on the Knowledge Hub and you agree that we may disclose Data in aggregate form on the Knowledge Hub for the purpose of providing farm benchmarking and supporting services.
5. Intellectual Property
5.1 Nothing in these terms grants you any right, title or interest in any current or future Intellectual Property Rights that B+LNZ (or our suppliers and licensors) relating to the Knowledge Hub. Except as expressly provided in these Terms, you do not have any rights to any of B+LNZ (or any of our licensors or suppliers) Intellectual Property Rights.
5.2 Unless you obtain our prior written approval and subject to clause 5.3, you must not use, adapt, reproduce, store, distribute, publish, broadcast, display or create derivative works from any part of the Knowledge Hub.
5.3 You may only use and download content from the Knowledge Hub for non-commercial educational or informational purposes without our prior written approval, provided that such content is cited and credited to B+LNZ and content is not materially altered or modified. We reserve the right to revoke authorised use at any time and any such use shall be discontinued upon written notice from us. We do not warrant that use of content on the Knowledge Hub by you will not infringe on the rights of any third party.
5.4 We have no Intellectual Property Rights in your Data other than to hold and make it available for the purposes contemplated by these Terms or for which it was provided.
5.5 We recommend that you maintain copies of all Data inputted into the Knowledge Hub. We do not guarantee that there will be no loss or corruption of Data. You agree that we will not have any liability to you or any other person for any loss or corruption of Data, no matter how such loss or corruption is caused.
6. Warranties and Liability
6.1 You warrant that:
(a) you are authorised to create an Account to access and use the Knowledge Hub to use the information and Data that you input into the Knowledge Hub; and
(b) you will only allow persons who you have provided authority to, to access your processed information and Data that is made available to you through your use of the Knowledge Hub.
6.2 The Knowledge Hub is provided on an “as is” and “as available” basis. To the maximum extent permitted at law, we disclaim and exclude all implied conditions or warranties as to the Knowledge Hub. Without limiting the foregoing we do not:
(a) give any warranties of merchantability, fitness for a particular purpose and non-infringement;
(b) warrant that the Knowledge Hub will be compatible with your equipment; or
(c) warrant that the Knowledge Hub will be free from errors, loss, destruction, interruption, corruption (including corruption of data), or that the Knowledge Hub will be timely or secure.
6.3 We will not be liable, if the Knowledge Hub or Website is unavailable for any reason, and for any length of time, including (but not limited to) as a result of maintenance to the Website or the Knowledge Hub (whether planned or unplanned), or any other event beyond our control.
6.4 Except to the extent required by law, we will not be liable for any indirect, consequential loss or special damages, loss of profit, good will, anticipated savings, business opportunity, data or use of data, injury to reputation or any costs, expenses or other claims whatsoever for any consequential compensation (and whether caused by the negligence of us, our employees or agents or otherwise and regardless of whether we knew or had reason to know of the possibility of the loss, injury or damage in question) which arise out of, or in connection with any breach of contract (being these Terms), equity, common law, statutory duty or by reason of any representation, implied warranty or other condition.
7. Terminating Your Account
7.1 You may at any time, for any reason, close your Account.
7.2 We may terminate and disable your Account immediately on giving notice to you if:
(a) any suppliers or licensors engaged by us, cease to provide the Knowledge Hub or any other services that are required for us to operate the Knowledge Hub;
(b) you breach these Terms;
(c) we consider any conduct by you puts the Knowledge Hub or other users at risk; and/or
(d) we deem your behaviour on the Knowledge Hub to be unacceptable.
7.3 On termination of your Account, your Account will be disabled and you may no longer use or access the Knowledge Hub.
8. General
8.1 These Terms are governed by New Zealand Law.
8.2 You may not assign or sub-contract any of your rights under this Agreement, without our prior written consent.
8.3 If any provision contained in these Terms is held to be invalid or unenforceable by any judicial or other competent authority, all other provisions of these Terms will remain in full force and effect and will not in any way be impaired.
9. Definitions
Unless the context requires otherwise, capitalised words shall have these meanings:
“Data” means any data inputted by you or with your authority into the Knowledge Hub or the Website.
“Intellectual Property Right” includes any and all intellectual or industrial property rights and interests held, owned or lawfully used, anywhere in the world, whether or not registered, including, without limitation:
(a) patents, trademarks, service marks, copyright, registered designs, trade names, symbols and logos;
(b) patent applications and applications to register trademarks, service marks and designs; and
(c) formulae, methods, workflows, plans, data, drawings, specifications, characteristics, equipment, designs, inventions, discoveries, improvements, knowhow, experience, software products, trade secrets, price lists, costing and other information.
“Website” means any B+LNZ website including www.beeflambnz.com.
“we”, “us” or “our” means Beef + Lamb New Zealand Limited.
"you" and “your” means the person who registers to use the Knowledge Hub and, where the context permits, includes any entity on whose behalf that person registers to use the Knowledge Hub.
